Welcome to Verta LLC (“Verta,” “Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the Verta mobile application, the website, and any related software, services, content, features, and functionality (collectively, the “Platform”).
The Platform is a marketplace that connects athletes, parents, and guardians (“Users”) with independent sports coaches (“Coaches”) for the purpose of booking sports training sessions and coaching lessons at participating sports facilities (“Facilities”).
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Eligibility
Adult Users. To create an account as an adult user, parent, guardian, coach, or facility operator, you must be at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement.
Minor Athletes. Individuals under the age of eighteen (18) (“Minors”) may not create their own accounts. A parent or legal guardian must create an account on behalf of any Minor athlete and must provide verified consent before any Minor may participate in sessions booked through the Platform. By creating a player profile for a Minor, the parent or guardian represents and warrants that they are the parent or legal guardian of that Minor and that they consent to these Terms on the Minor’s behalf.
Age Verification. Verta may request documentation to verify age or parental/guardian status at any time. Failure to provide accurate information may result in account suspension or termination.
2. Description of Services
Verta operates solely as a technology marketplace that facilitates connections between Users and independent Coaches for sports training sessions. Verta does not employ, supervise, direct, or control Coaches and does not guarantee the quality, safety, legality, or any other aspect of coaching services provided through the Platform. Verta does not own, operate, manage, or control any Facility.
3. Nature of Coaching Sessions
Coaching sessions booked through the Platform are provided by independent Coaches, not by Verta. Each Coach sets their own rates, availability, age groups, and session policies. The existence of a Coach profile on the Platform does not constitute an endorsement of that Coach’s qualifications, methods, safety practices, or suitability for any particular athlete, including Minors.
4. Coach Accounts & Vetting
Application & Review. Coaches who wish to list their services on the Platform must submit an application and undergo Verta’s review process. Verta may require Coaches to provide certifications, credentials, and other information during the application process. Coach accounts begin in a “Pending Review” status and are activated only after Verta’s approval.
Verta’s Vetting Process — Limitation of Liability. Verta conducts a good-faith review of Coach applications and may collect information regarding certifications, experience, and other credentials. However, Verta does not represent or warrant that its review process is exhaustive, and Verta makes no representations or warranties regarding the accuracy, completeness, or sufficiency of any information provided by Coaches. Verta’s review process is not a guarantee of a Coach’s character, fitness, professional competence, or suitability to work with Minors. Parents and guardians are solely responsible for independently evaluating any Coach before allowing a Minor to participate in sessions with that Coach.
Coach Independence. Coaches are independent contractors, not employees, agents, or representatives of Verta. Verta is not liable for the acts, omissions, negligence, or misconduct of any Coach, whether or not Verta approved that Coach’s account.
Coach Representations. By registering as a Coach, you represent and warrant that: (a) all information you provide is accurate and complete; (b) you hold all required certifications and licenses applicable to your coaching activities and to working with the age groups you serve; (c) you will comply with all applicable laws, including those governing work with Minors; (d) you will maintain appropriate professional boundaries with all athletes, particularly Minors; and (e) you will immediately report to Verta any conduct or condition that may endanger the safety of any athlete.
5. Minors & Parental Consent
Parental Responsibility. Parents and guardians who book sessions for Minors assume full responsibility for: (a) independently evaluating the suitability of any Coach for their child; (b) determining whether the session environment is appropriate; (c) supervising or arranging appropriate supervision of the Minor during and in connection with all sessions; and (d) ensuring that session content and physical demands are appropriate for the Minor’s age, health, and physical condition.
Release on Behalf of Minors. By creating a Minor athlete profile or booking a session for a Minor, the parent or guardian, on behalf of themselves and the Minor, agrees to the release, limitation of liability, indemnification, and assumption of risk provisions set forth in these Terms. The parent or guardian acknowledges that Verta’s approval of a Coach’s account does not transfer responsibility for the Minor’s safety to Verta.
COPPA Notice. The Platform is not directed at children under the age of thirteen (13). Verta does not knowingly collect personal information from children under thirteen (13) without verifiable parental consent. Parents who believe their child under age 13 has provided personal information to Verta without consent should contact us immediately at the address provided in Section 21.
6. User Responsibilities
You agree to: (a) provide accurate and current information; (b) comply with all Facility rules and Coach session policies; (c) treat all users, Coaches, and facility staff with respect; and (d) behave lawfully at all times. Session bookings may not be transferred, duplicated, or misused. Violations may result in cancellation without refund and account termination.
7. Payments, Fees & Refund Policy
All payments are processed through the Platform via our third-party payment processor. Session fees may include a Coach fee, a Facility court fee, and a Platform service fee, each displayed at time of booking. All purchases are final and non-refundable unless otherwise specified in the Coach’s or Facility’s cancellation policy presented at the time of booking. Verta is not responsible for refunds due to Coach cancellations, Facility closures, athlete no-shows, or disputes between Users and Coaches. Coaches receive payouts according to Verta’s payout schedule and applicable payment processor terms.
Subscriptions. Certain premium features (including training content and coach directory visibility) are offered on a recurring subscription basis. Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date. You may cancel your subscription at any time through your account settings.
9. Assumption of Risk
You acknowledge that sports training activities carry inherent risks, including but not limited to physical injury, overexertion, and contact with other athletes or equipment. You voluntarily assume all risks associated with participating in or attending coaching sessions booked through the Platform. This assumption of risk applies equally to any Minor athlete on whose behalf you have created an account or booked a session. You further acknowledge that Verta has no control over the physical activities conducted during any session and assumes no responsibility for injuries or harm resulting therefrom.
10. Disclaimer of Warranties
The Platform and Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied. Verta makes no warranties regarding the suitability, safety, reliability, or professionalism of any Coach, the accuracy of any Coach’s credentials or representations, or the safety or condition of any Facility.
11. Limitation of Liability
To the maximum extent permitted by law, Verta LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages of any kind, including but not limited to bodily injury, emotional distress, or loss suffered by any Minor athlete. Verta’s total liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the total fees paid by you to Verta in the thirty (30) days preceding the claim. Verta shall not be liable for the conduct, acts, omissions, negligence, or misconduct of any Coach or Facility, even if Verta approved that Coach’s account or listed that Facility on the Platform.
12. Indemnification
You agree to indemnify, defend, and hold harmless Verta LLC, its officers, directors, employees, affiliates, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Platform; (b) any session booked through the Platform; (c) your conduct or the conduct of any Minor for whom you are responsible; (d) your violation of these Terms; or (e) any misrepresentation made in connection with your account or any Minor’s profile.
13. Intellectual Property
All Platform content, trademarks, logos, software, and designs are owned by or licensed to Verta LLC and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any Platform content without Verta’s prior written consent.
14. Account Suspension & Termination
Verta may suspend or terminate any account at any time for fraud, abuse, violation of these Terms, or any conduct that Verta determines in its sole discretion poses a safety risk to any user, particularly Minors, without prior notice or liability.
15. Third-Party Services
The Platform integrates third-party services including payment processors, mapping services, and others. Verta is not responsible for third-party failures, errors, privacy practices, or terms of service.
16. Privacy & Children’s Data
Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. Verta takes the privacy of Minor athletes seriously. Personal data collected for Minor athlete profiles is used solely to facilitate coaching sessions and is not sold or disclosed to third parties except as necessary to provide the Services or as required by law. To the extent applicable, Verta’s data practices comply with the Children’s Online Privacy Protection Act (COPPA).
17. Safety Reporting
If you become aware of any conduct by a Coach, Facility, or other user that poses a safety risk to any athlete — particularly a Minor — you agree to report such conduct to Verta immediately at the contact address in Section 21. Verta reserves the right to remove any Coach or Facility from the Platform upon receipt of credible safety concerns, pending investigation.
18. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
19. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively in state or federal courts located in Texas.
20. Changes to Terms
Verta reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the “Last Updated” date above. Continued use of the Platform after updated Terms are posted constitutes your acceptance of those changes.
